FAQs
Frequently asked questions
What’s the difference between a partnership and an LLP?
A general partnership isn’t a separate legal entity, so partners share unlimited liability. An LLP is a separate legal entity registered at Companies House, and members’ liability is generally limited. Both are taxed transparently on the individual partners or members.
Do we each need a separate tax return?
Yes. The firm files one partnership return (SA800), and each partner reports their share on their personal return. We prepare both from the same figures.
What are designated members responsible for?
Every LLP needs at least two. They’re responsible for statutory filings, keeping records up to date, notifying Companies House of member changes and identity verification.
How are LLP profits shared and taxed?
As set out in the LLP agreement, or equally if there’s none. Each member is taxed as self-employed on their share, whether or not they’ve drawn it.
Can you help us convert from a partnership to an LLP?
Yes, from incorporation and HMRC registration to planning the transfer of contracts, assets and bank accounts, with a review of CGT, capital allowances and VAT first.
Does my LLP need an audit?
Not always. Small LLPs within the thresholds can usually claim exemption. We check each year and tell you well before year-end.
